5. Payment Terms

Payment terms are as follows unless otherwise agreed in writing:

• Payment schedules and milestones will be defined in the project proposal or service agreement
• All fees are quoted in the currency specified in the agreement
• Late payments may incur additional charges as outlined in the service agreement
• We reserve the right to suspend or terminate services for overdue payments

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes business data, technical specifications, trade secrets, and any other information designated as confidential. This obligation survives the termination of our business relationship.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• Alphinex Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services
• Our total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim
• We are not responsible for any loss of data, revenue, or business opportunities resulting from the use or inability to use our services

8. Warranties and Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, unless specifically stated in a project agreement. We do not warrant that:

• Our services will meet all of your requirements beyond the agreed scope
• Our services will be uninterrupted, timely, or error-free
• Any defects in the services will be corrected beyond the agreed warranty period

9. Termination

Either party may terminate the engagement under the following conditions:

• By providing written notice as specified in the project agreement
• Immediately if either party breaches a material term of the agreement
• Upon mutual written consent of both parties

Upon termination, the client shall pay for all services rendered up to the date of termination. Any deliverables completed and paid for will be transferred to the client.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Delaware.

11. Changes to Terms
